1. We reserve the right to make changes in
editorial matter and general arrangement in the case of a standard diary
being adapted for advertising purposes.
2. All orders are accepted on the condition that we do not hold ourselves
responsible for delays or loss arising from contingencies beyond our control,
such as war, strikes, lockouts, fire, etc.
3. Preliminary work carried out at the customer’s request will be charged
for.
4. Author’s corrections, including alterations in style and the cost of
additional proofs required by such alterations will be charged for. We accept
no responsibility for errors in proofs not corrected by customer.
5. Blocks, drawings and originals required in the production are not included
in the price and if we supply them are chargeable extra.
6. Cost Variation – Quotations are based on the current cost of labour and
materials, and are subject to amendment at any time.
7. The Despatch date as stated on the acknowledgement of order is subject
to materials and components being available on time, machine breakdown,
and to delays caused by customer in passing proofs, and providing complete
instructions.
8. No liability is accepted for delays or losses in transit whatever the
reason. If goods have not been received within 10 days of receipt of our
invoice we should be notified immediately.
9. If goods are received damaged or short delivered, the delivery note should
be endorsed accordingly, and both the carriers and ourselves notified in
writing within 3 days.
10. The return of any goods properly supplied against your order will not
be accepted for any reason unless our authority to do so has been previously
been obtained in writing.
11. On all orders specially blocked or printed we reserve the right to deliver
and invoice up to 5% over or under the quantity ordered.
12. Value Added Tax is not included in the price and will be charged extra
at the rate ruling at the time of delivery.
13. Terms of Payment (United Kingdom customers only) – Payment is nett and
strictly due within 30 days of date of invoice. Interest will be charged
at 1½% per month in the event of late payment.
14. FOB UK port unless otherwise stated or agreed in writing. Payment terms
to be agreed prior to order being accepted.
15. The Goods shall be at the Buyer’s risk as from delivery.
16. In spite of delivery having been made property in the Goods shall not
pass from the Seller until: a. The Buyer shall have paid the Price plus
VAT in full: and
b. No other sums whatever shall be due from the Buyer to the Seller.
17. Until property in the Goods passes to the Buyer in accordance with clause
16 the Buyer shall hold the Goods and each of them on a fiduciary basis
as bailee for the Seller. The Buyer shall store the Goods (at no cost to
the Seller) separately from all other goods in its possession and marked
in such a way that they are clearly identified as the Seller’s property.
18. Notwithstanding that the Goods (or any of them) remain the property
of the Seller the Buyer may sell or use the Goods in the ordinary course
of the Buyer’s business at full market value for the account of the Seller.
Any such sale or dealing shall be a sale or use of the Seller’s property
by the Buyer on the Buyer’s own behalf and the Buyer shall deal as principal
when making such sales or dealings. Until property in the goods passes from
the Seller the entire proceeds of sale or otherwise of the Goods shall be
held in trust for the Seller and shall not be mixed with other money or
paid into any overdrawn bank account and shall be at all material times
identified as the Seller’s money.
19. The Seller shall be entitled to recover the Price (plus VAT) notwithstanding
that property in any of the Goods has not passed from the Seller.
20. Until such time as property in the Goods passes from the Seller the
Buyer shall upon request deliver up such of the Goods as have not ceased
to be in existence or resold to the Seller. If the Buyer fails to do so
the Seller may enter upon any premises owned occupied or controlled by the
Buyer where the Goods are situated and repossess the Goods. On the making
of such request the rights of the Buyer under clause 18 shall cease.
21. The Buyer shall not pledge or in any way charge by way of security for
indebtedness any of the Goods which are the property of the Seller. Without
prejudice to the other rights of the Seller, if the Buyer does so all sums
whatever owing by the Buyer to the Seller shall forthwith become due and
payable.
22. The Buyer shall insure and keep insured the Goods to the full Price
against ‘all risks’ to the reasonable satisfaction of the Seller until the
date that property in the Goods passes from the Seller, and shall whenever
requested by the Seller produce a copy of the policy of insurance. Without
prejudice to the other rights of the Seller, if the Buyer fails to do so
all sums whatever owing by the Buyer to the Seller shall forthwith become
due and payable.
23. The Buyer shall promptly deliver the prescribed particulars of this
contract to the Registrar in accordance with the Companies Act 1985 Part
XII as amended. Without prejudice to the other rights of the Seller, if
the Buyer fails to do so all sums whatever owing by the Buyer to the Seller
shall forthwith become due and payable. |
